1. Kenvue Brands LLC (on behalf of the Kenvue group of companies, referred to as “Kenvue”, “us” or “we” in these terms) provides access to this platform (the “Portal”), and the information hosted on it, to facilitate business relationships with Kenvue suppliers (including the onboarding of new suppliers).

2. Use of, or access to, the Portal is not, and is not intended to imply, an offer to enter into any specific or additional business with a supplier, or imply that any right or license will be granted to the supplier unless otherwise set out in these terms. The relationship between any Kenvue company and any supplier remains subject at all times to the contractual terms entered into between the relevant companies (or the Kenvue general terms and conditions of purchase, as referenced below).

3. Registration. Each Supplier (“you”, or “Supplier” in these terms) may need to register to use the Portal. We may reject, or require that you change, any username, password or other information that you provide. Your username and password are for your personal use only. You are solely responsible for maintaining the confidentiality of your credentials and for restricting access to your mobile device, computer, and/or other means of accessing the Portal. We are not responsible for any use of your credentials caused by your failure to keep them confidential. You are solely responsible for all activities that occur under your account, either with or without your knowledge. You must promptly notify us of any unauthorized use of your credentials or account of which you become aware. We recommend that, to the extent you access the Portal via a mobile device, you password protect that device. We reserve the right to terminate any account at any time in our sole discretion, including without limitation for any failure to comply with these terms, any fraud or abuse, or any misrepresentation that you or anyone using your account may make to us.

Information submitted to and available on the Portal

4. Kenvue makes no representation or warranty as to the adequacy, accuracy or completeness of any information provided via the Portal (including knowledge articles, FAQ, guidance notes or any similar content), which is provided for convenience and to facilitate business relationships, and which may be updated from time to time.

5. By uploading information to the Portal (whether through the Live Chat agent, or any other channel, as a request to open a case or raise any query, or through any supporting information that you provide), you acknowledge and agree that; (i) Kenvue companies may reasonably rely on such information, and that any information you provide to us will be reasonably current, accurate and complete; and (ii) you are appropriately authorised to act on behalf of your organisation in submitting information to the Portal. You will keep such information up to date by notifying us of any changes.

6. Each Kenvue company reserves the right to share information submitted by suppliers via this Portal with any other member of the Kenvue group of companies, and with their respective directors, employees, consultants, advisers or agents, and with relevant third parties, in connection with the goods and services you may be supplying (or for internal management purposes, including compliance and audit).

7. By using the Portal you agree that no member of the Kenvue group of companies, nor any of their respective directors, employees, consultants, advisers or agents, nor any relevant third parties, shall have any liability to any supplier resulting from the use of any information supplied to suppliers via the Portal (or in relation to reliance by Kenvue on the information provided by suppliers).

8. Acceptable Use and Rules of Conduct. You must not submit, upload, transmit, or otherwise make available, through or in connection with the Portal;

(a) any materials that are or may be: (i) threatening, harassing, degrading, hateful, intimidating, or otherwise fail to respect the rights and dignity of others; (ii) defamatory, libelous or fraudulent; (iii) obscene, indecent, pornographic or otherwise objectionable; or (iv) protected by copyright, trademark, trade secret, right of publicity or privacy or any other proprietary right, without the express prior written consent of the applicable owner.

(b) any virus, worm, Trojan horse, Easter egg, time bomb, spyware or other computer code, file or program that is or is potentially harmful or invasive or intended to damage or hijack the operation of, or to monitor the use of, any hardware, software or equipment (each, a “Virus”).

9. You further agree that you will not:

(c) use the Services for any purpose that is fraudulent or otherwise unlawful; or

(d) remove any copyright, trademark or other proprietary rights notice from the Portal or any of its content, or modify any of the content that you download.

10. We agree and acknowledge that you may download and store content from the Portal (such as knowledge articles, FAQ responses, or query details, or purchase orders, invoices, or relevant supporting documents relevant to a specific query). You are permitted to use such downloaded content for purposes reasonably related to your business relationship with Kenvue and its affiliated companies (provided that such content, once downloaded, is not modified, and retains any Kenvue version number or other similar document management information).

Intellectual Property & Confidentiality

11. Any information provided to you by any member of the Kenvue group of companies via this Portal (collectively “Confidential Information”) is to be treated as strictly confidential and proprietary to Kenvue and its affiliates. As such, information shared via this Portal is to be used by suppliers solely for the purpose of managing their relationship with Kenvue. Confidential Information shall not include: (i) information independently developed by suppliers without reference to any Kenvue information; or (ii) information lawfully received from a third party without any restriction on use; or (iii) information that is already in the public domain.

12. Suppliers may not; (a) use or copy Kenvue Confidential Information for any purpose other than to the extent necessary to manage the relationship with Kenvue (including managing transactions via this Portal); or (b) disclose any Kenvue Confidential Information to any third party, without Kenvue’s prior written approval (but may share Confidential Information with supplier personnel, or those of its affiliates, who need to know that information, provided that the supplier shall be responsible for the acts or omissions of any such personnel. Suppliers shall; (a) use at least the same degree of care that they use to protect their own proprietary information (but no less than reasonable care), to protect the Confidential Information; and (b) if requested by Kenvue, shall return or destroy all Confidential Information in its possession or control.

13. Supplier may only use the platform for the limited purpose of providing services to Kenvue and its affiliated companies, and supporting the operations of those Kenvue companies (and you acknowledge that Kenvue may be liable to its licensors in the event that your act or omission causes any damage to the platform, or to its owners, and you agree to indemnify and keep indemnified Kenvue and its affiliated companies for any damage related to such acts or omissions.

Additional Legal Terms & Conditions

14. Safety Reporting Requirements: To comply with global regulatory requirements, Kenvue must collect information on Adverse Events and Product Quality Complaints (each as defined in the terms and conditions applicable to any Purchase Order, and together “Safety Information”), including from its suppliers. If you, or any of your affiliates or subcontractors, in performing services or delivering goods to or for a Kenvue company, become aware of any Safety Information associated with a Kenvue product, you must notify Kenvue (via https://www.kenvue.com/contact-us) within one (1) business day of receipt of such Safety Information (or on the next business day after any public holiday or office closure, but in any case, no later than three (3) calendar days from becoming aware of the Safety Information).

15. Terms and Conditions: Kenvue’s general terms and conditions of purchase are available at www.kenvue.com/suppliers/general-terms-and-conditions, and by accessing this Portal, you also acknowledge that such terms and conditions apply to all Purchase Orders available or referenced via this Portal (unless you have signed a separate contract with a Kenvue affiliate, in which case those terms and conditions will apply) Acceptance and fulfilment of any Purchase Order constitutes acceptance of Kenvue terms and conditions.

16. Privacy Compliance: Kenvue companies may use your personal information to manage our business relationship, in accordance with our Supplier Privacy Notice, and, as relevant, our Cookie Policy (https://www.kenvue.com/cookie-policy).

17. Export Controls & Sanctions: Kenvue companies may also use your information to comply with legal obligations (such as global trade control laws and regulations. By accessing this Portal, you confirm that you are not; (a) located in, or a resident or national of, any country subject to U.S. or other governmental embargo or trade sanctions (see http://www.treasury.gov/resource-center/sanctions/Programs/Pages/Programs.aspx for more information on U.S. sanctions); or (b) on any of the U.S., European Union or other government lists of restricted end users (including the U.S. “Specially Designated Nationals” list available at http://www.treasury.gov/resource-center/sanctions/SDN-List/Pages/default.aspx).

18. Supplier Code of Conduct: By accessing this Portal, you also acknowledge that you have read and familiarised yourself with the current version of the Kenvue Supplier Code of Conduct (available online at https://www.kenvue.com/policies-positions/supplier-code-of-conduct), You confirm that your company will comply with that Supplier Code of Conduct (including when delivering any goods or services, should your company be awarded business under any Purchase Order available through the Portal, or otherwise), and you also acknowledge that Kenvue may request additional data and information in connection with the Supplier Code of Conduct, either via the Portal or otherwise, to enable Kenvue to comply with its own regulatory obligations.

19. Jurisdictional Issues. The Portal may not be available for use in some jurisdictions. Any use of the Portal is at your own risk, and you must comply with all applicable laws, rules and regulations in doing so. We may limit the availability of the Portal at any time, in whole or in part, to any person or geographic area that we choose, in our sole discretion, for legal, regulatory or business reasons (including technology constraints).
